These General Conditions of Sale apply to all direct sales made by the company PROTEL di Roberto Anzelmo & C. S.a.s. (listed below as "PROTEL")
The contract is finalized upon communication of the acceptance of the order by PROTEL, by sending the Customer a written confirmation. The signing of the Order implies the Customer's automatic acceptance of the General Conditions of Sale.
Any changes to the Purchase Order must be made in writing. PROTEL assumes no obligation if the modification request by the Customer is made after the shipment of the product.
1. PRICE and PAYMENTS
The sale price of the products and the billing and payment terms are those indicated by PROTEL upon acceptance of the Purchase Order. The price is ex works and VAT. excluded. The customer will have the right to confirm or not the order in the event that the price indicated in the order form is different from that indicated in the order confirmation.
2. DELIVERY of PRODUCTS and TRANSPORT BY COURIER
The transfer of risks relating to the transport of the products sold takes place at the time of shipment from the PROTEL warehouses, as required by Article 1510 of the Civil Code.
Package insurance is always excluded, and is the responsibility of the customer who must explicitly request it when ordering.
The customer must refuse the package when the box he receives is damaged or accept it with reserve, expressed to the courier himself in writing on the transport document
PROTEL declines all responsibility in case of delay in delivery.
3. NOTICE OF DEFECTS
Each Protel product is tested before being sent to the customer to guarantee its correct functioning. The copy of the test is always inserted in the package containing the product together with the declaration of conformity.
The Customer must report any flaws and/or defects in the products supplied or any failed and/or non-compliant supply of all or part of the Purchase Order within and no later than 8 (eight) days to be calculated from the delivery date of the products under penalty of forfeiture of any requests. The complaint must be made in writing by registered letter with return receipt. or certified mail.
Following the sending of the complaint within the term indicated above, the customer will have to return the goods to Protel at his own expense, to allow him to examine the product, verify the possible presence of the defect or defect reported and possibly carry out the appropriate corrective actions.
The Customer will also abstain from any intervention on the products themselves, under penalty of forfeiture of the guarantee.
The return of the products supplied is in any case subject to the prior written consent of PROTEL. The costs and risks of the return are borne by the customer.
In the event that a refund is due to the Customer following the return of the products, the amount of the same is calculated with reference to the prices in force for the same products at the time of their arrival at PROTEL, reduced on the basis of the depreciation deriving from the state and the age of the returned products.
The products sold by PROTEL are guaranteed for a period of 12 months for sales to VAT number holders and 24 months for all private individuals starting from the date of their delivery to the customer in relation to manufacturing faults or defects and is limited to replacement or repair of products recognized as defective with the exclusion of any right to compensation for damages. Transport costs will be borne exclusively by the customer. The warranty does not apply to replacements, repairs or maintenance that become necessary due to normal wear and tear of the product or in the event of malfunctions resulting from negligence, imprudence or inexperience in the use and/or installation of the products. The guarantee does not apply if the Customer has performed or had third parties perform interventions on the products, without the prior written consent of PROTEL.
6. RIGHT OF WITHDRAWAL
In compliance with the new Consumer Code which implements Legislative Decree No. 21 of 21 February 2014 regarding greater consumer protection, Protel adheres to the following products: RF connectors, fixing brackets mod. zafz25/90C and zafz25/114C and coaxial cables headed for radio frequency with standard measurements shown on the website (not part of systems).
All other products remain exempt as they are made on the specific frequency requested by the Customer, as required by Article 59 of the Consumer Code.
The Customer may exercise the right of withdrawal within 14 days upon notification by registered letter with return receipt or certified e-mail.
The goods must be returned in the original packaging and without defects of any kind, carriage paid to the Protel headquarters in Cesano Boscone.
7. OUT OF WARRANTY REPAIR
Outside the warranty period, repairs are subject to express written acceptance by the Customer of the repair cost estimate. Transport costs will be borne exclusively by the customer. Payment for repairs must be made upon notice of the goods being delivered.
8. EXCLUSIVE JURISDICTION
These General Conditions of Sale are governed by the laws of the Italian Republic. For everything not expressly
governed by these conditions, the provisions of the civil code will be applied.
For any controversy deriving from the execution of the contracts governed by these General Conditions of Sale, the Court of Milan (Italy) will have exclusive jurisdiction.
